Terms of Use

These Terms of Use ("Terms") govern your use of ChiralCall, a chirality prediction service provided by Arroway Sciences ("we," "us," or "Company"). ChiralCall uses proprietary computational methods to predict the active enantiomer of chiral compounds, enabling faster drug discovery and optimization cycles.

By accessing or using ChiralCall, you agree to be bound by these Terms. If you do not agree with any provision, you may not use the service.

ChiralCall is provided exclusively as a research and drug discovery tool for medicinal chemists, computational chemists, agrochemical scientists, and contract research organizations conducting drug discovery programs. Predictions returned by ChiralCall are intended for research, optimization, and drug discovery applications only.

Predictions are NOT validated for and must NOT be used for:

• Clinical diagnosis or patient treatment decisions
• Regulatory submissions or drug approvals
• Commercial manufacturing decisions
• Binding scientific or commercial claims

All predictions must be independently verified experimentally before downstream use of any kind.

ChiralCall offers the following subscription tiers:

All ChiralCall predictions can be processed using one of three storage modes:

Paid tiers include API access via X-API-Key authentication. Standard tier API rate limits are 1,000 requests per day per API key. Founding Customer and Enterprise tiers receive higher limits. Free tier does not include API access.

You are responsible for safeguarding your API key. If your key is compromised, revoke it immediately from your account settings. Excessive or abusive use, including bulk scraping, may result in API suspension or account termination.

ChiralCall predictions, the underlying model, training data, and methodology are proprietary to Arroway Sciences. You may not attempt to reverse engineer, decompile, disassemble, or reconstruct the prediction method or training data.

You own the rights to any experimental or structural data you input. By using the Contribute storage mode, you grant us a non-exclusive, royalty-free license to use anonymized structural data for model improvement and validation.

ChiralCall is provided "AS IS" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We make no guarantee that predictions will be accurate for any specific compound or chemical family.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARROWAY SCIENCES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF CHIRALCALL, INCLUDING LOSS OF DATA, BUSINESS INTERRUPTION, OR FAILED PREDICTIONS.

Our total liability for any claim arising under these Terms shall not exceed the amount you paid for ChiralCall in the 12 months preceding the claim.

All academic users, including those on the free tier, must cite ChiralCall in any published work that uses our predictions. The required citation format is:

"ChiralCall, Arroway Sciences, www.chiralcall.com"

A DOI and formal citation format will be provided upon request. Failure to cite ChiralCall may result in loss of academic tier access.

Founding Customer pricing is locked permanently at $9,995 per year, even if pricing increases. This rate is non-transferable: it applies only to the original account holder and cannot be transferred to other users, organizations, or accounts.

Founding Customer accounts include a 30-day money-back guarantee from the date of purchase. After 30 days, no refunds are issued except in cases of material service failure. Founding Customer status is terminated if the account is deleted or transferred.

We reserve the right to modify, suspend, or discontinue any part of ChiralCall at any time with 30 days' notice. Chemical family coverage, confidence thresholds, accuracy metrics, and validation statistics may be updated as new benchmark data becomes available.

Paid tier subscribers will receive email notification of any breaking changes or discontinuation. In the event of discontinuation, we will provide data export tools and a 90-day wind-down period.

We may terminate or suspend your account immediately and without notice if you:

• Violate these Terms or our Acceptable Use Policy
• Attempt to reverse engineer or scrape the service
• Use ChiralCall for clinical or regulatory purposes
• Use ChiralCall for commercial manufacturing decisions
• Engage in fraudulent activity or abuse

Upon termination, your access to stored predictions and API keys will be revoked. You may request data export within 30 days of termination.

These Terms and your use of ChiralCall shall be governed by the laws of the State of California, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

Prior to initiating legal proceedings, you agree to attempt resolution through good-faith negotiation with our legal team at legal@arrowaysci.com.

Your use of ChiralCall indicates acceptance of these Terms. We may update these Terms at any time. Continued use of the service after changes constitute acceptance of the updated Terms. We will notify paid subscribers of material changes at least 30 days in advance.
